Terms of Service

The Cognexia AI Legal platform is a legal research and productivity tool. All AI-generated content — including legal research, document drafts, case analysis, litigation strategies, compliance reports and all other outputs — constitutes informational content only and does not constitute legal advice. You must always consult a qualified, licensed lawyer in the relevant jurisdiction before acting on any AI-generated output. Cognexia AI accepts no liability for decisions made in reliance on platform outputs without independent legal verification.

1. Acceptance of Terms

By accessing or using the Cognexia AI Legal platform ("Platform", "Service") operated by Cognexiaai LLP("Cognexia AI", "we", "us", "our"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must immediately cease using the Platform. We reserve the right to update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

2. Description of Service

Cognexia AI Legal is an AI-powered legal intelligence Software-as-a-Service (SaaS) platform providing:

Legal research across 120+ jurisdictions
AI-powered document analysis and contract drafting
Compliance checking and regulatory mapping
Litigation strategy and case analysis tools
Legal notice and document generation
Advocate marketplace and booking
Multi-jurisdiction legal comparison
Tax, corporate, and international law intelligence

The Service is provided on a subscription basis with credit-based usage metering. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Account Registration

You must provide accurate, current and complete information during registration and keep it updated.

You must be at least 18 years of age to create an account.

You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

You must notify us immediately at security@cognexiaai.com if you suspect unauthorised access to your account.

5.

One person may not maintain multiple free accounts. We reserve the right to merge or close duplicate accounts.

6.

Enterprise accounts may add team members under a single subscription; each member is individually bound by these Terms.

4. Credits, Plans & Billing

Credit System

The Platform operates on a credit-based system. Different AI tools consume different numbers of credits per use. Credits are non-refundable and non-transferable between accounts. Unused credits at the end of a billing cycle do not carry forward on the Free plan; paid plan credits reset monthly on the billing anniversary date. Free users receive 25 credits on signup and 5 credits per calendar month.

Subscription Plans

Paid subscriptions are billed monthly or annually in advance via Razorpay. Prices are set in INR for Indian users and USD/regional currency for international users, as displayed at the time of purchase. We reserve the right to change pricing with 30 days' notice.

Refund Policy

Subscriptions are non-refundable except where required by applicable consumer protection law. If you cancel a paid subscription, you retain access until the end of the current billing period. Credits consumed are non-refundable. If the Service is materially unavailable (>24 consecutive hours) due to our fault, you may request a pro-rata credit extension by emailing billing@cognexiaai.com within 7 days.

Taxes

Prices displayed are exclusive of GST/VAT unless otherwise stated. Indian users will be charged applicable GST. International users are responsible for any applicable local taxes or import duties.

5. Acceptable Use Policy

You agree NOT to use the Platform to:

Violate any applicable law or regulation in any jurisdiction
Generate content for the purpose of committing fraud, deception, or harassment
Attempt to reverse-engineer, scrape, or harvest data from the Platform at scale
Impersonate any person, entity, or legal professional
Submit inputs designed to circumvent AI safety guardrails (jailbreaking)
Process personal data of third parties without their consent
Use the Platform for unsolicited communications (spam)
Interfere with the security or integrity of the Platform
Resell or redistribute Platform output commercially without our written consent
Use the Service to generate legal opinions for presentation to courts as professional legal advice
Access the Platform using automated bots beyond reasonable API use limits
Engage in any activity that could expose Cognexia AI to legal liability

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

6. AI Disclaimer & Limitations

Not Legal Advice

All content generated by the CAILegal AI engine — including but not limited to legal research summaries, document drafts, case analysis, compliance reports, litigation strategies, legal notices, and precedent citations — is provided for informational and research purposes only. It does not constitute legal advice, legal opinion, or the practice of law. The AI does not form a lawyer-client relationship with you.

AI Accuracy Limitations

AI language models may produce inaccurate, incomplete, outdated, or "hallucinated" outputs including fabricated case citations, incorrect statute numbers, or wrong legal interpretations. You must independently verify all AI outputs against authoritative legal sources (Manupatra, SCC Online, IndianKanoon, official court portals, Westlaw, LexisNexis, etc.) before relying on them in any professional or legal context.

Jurisdiction Coverage

While the Platform covers 120+ jurisdictions, the depth and accuracy of coverage varies. For critical matters, always engage a qualified local lawyer admitted in the relevant jurisdiction.

7. Intellectual Property

Our IP

The Platform, including its software, AI models, user interface, design, branding (Cognexia AI, CAILegal), APIs, documentation, and all associated intellectual property rights, are owned exclusively by Cognexiaai LLP or our licensors. These Terms do not grant you any ownership rights in our IP. Your right to use the Platform is a limited, non-exclusive, non-transferable licence.

AI-Generated Output Ownership

Subject to compliance with these Terms, AI-generated outputs created by your queries are assigned to you for your use. However, we retain the right to use anonymised, aggregated, de-identified output data for platform improvement. You represent that any documents you upload for analysis are owned by you or you have the right to process them.

Feedback

Any feedback, suggestions, or ideas you provide about the Platform are non-confidential and we may use them freely without compensation or attribution to you.

8. User Content

You retain ownership of documents, text, and data you upload to the Platform ("User Content"). By uploading User Content, you grant Cognexia AI a limited, non-exclusive licence to process and analyse such content solely for the purpose of providing the Service to you. We will not access your User Content for any purpose other than delivering the Service, except as required by law. You are responsible for ensuring that your User Content does not violate any third-party rights, applicable laws, or these Terms.

9. Advocate Marketplace

Platform Role

Cognexia AI operates as a marketplace platform only. We connect clients with advocates but are not a party to any engagement between them. We do not guarantee the quality, conduct, or services of any advocate listed on the Platform.

Advocate Responsibilities

Advocates are responsible for ensuring their bar council registration is current and valid, the accuracy of their profile information, maintaining professional conduct as required by their bar council, and compliance with all applicable professional ethics rules. Listing on the Platform does not constitute endorsement by Cognexia AI.

Client Responsibilities

Clients engaging advocates through the Platform do so directly and are responsible for their own due diligence. Any disputes between clients and advocates are to be resolved directly between the parties.

10. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

11. Disclaimers of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNEXIA AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI OUTPUTS, UNINTERRUPTED OR ERROR-FREE OPERATION, AND COMPLETENESS OF LEGAL COVERAGE. WE DO NOT WARRANT THAT THE AI OUTPUT WILL BE ACCURATE, CURRENT, COMPLETE, OR APPLICABLE TO YOUR SPECIFIC LEGAL SITUATION. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • COGNEXIA AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO COGNEXIA AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000 (OR USD 100 FOR INTERNATIONAL USERS).
  • COGNEXIA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, LEGAL COSTS OR PENALTIES INCURRED DUE TO RELIANCE ON AI OUTPUT.
  • COGNEXIA AI SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM RELIANCE ON AI-GENERATED LEGAL CONTENT, INCLUDING ANY ADVERSE LEGAL OUTCOME IN COURT PROCEEDINGS OR REGULATORY MATTERS.
  • SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend and hold harmless Cognexiaai LLP, its directors, officers, employees, contractors and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your User Content; (c) your violation of any third-party rights; or (d) your violation of any applicable law.

14. Suspension & Termination

By Us

We may suspend or terminate your account immediately, without prior notice, if we reasonably determine that you have violated these Terms, engaged in fraudulent activity, or your continued use poses a risk to other users or the platform. We may also discontinue the Service with 30 days' notice to paid subscribers (pro-rata refund will be provided for remaining prepaid period).

By You

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You may request account deletion by emailing legal@cognexiaai.com.

Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We will retain your data for the periods specified in our Privacy Policy, after which it will be deleted. Provisions of these Terms that by their nature should survive termination shall do so, including Sections 6, 7, 11, 12, 13, and 15.

15. Governing Law & Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The Information Technology Act 2000, IT (Amendment) Act 2008, and the Digital Personal Data Protection Act 2023 apply where relevant.

Dispute Resolution — Step 1: Informal Resolution

Before initiating any formal dispute, you must first contact us at legal@cognexiaai.com with a written description of the dispute. We will use good faith efforts to resolve the dispute within 30 days.

Dispute Resolution — Step 2: Arbitration

If informal resolution fails, disputes shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act 1996 (India). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement or, failing agreement, by MCIA (Mumbai Centre for International Arbitration) Rules. The seat and venue of arbitration shall be Mumbai, India. The arbitration shall be in English.

Jurisdiction for Injunctive Relief

Notwithstanding the arbitration clause, either party may seek urgent interim injunctive relief from the courts of Mumbai, Maharashtra, India, which shall have exclusive jurisdiction for such purposes.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription order, constitute the entire agreement between you and Cognexia AI regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.

Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control (force majeure), including natural disasters, government action, internet outages, or third-party AI service unavailability.

Legal notices to us must be sent to legal@cognexiaai.com. Notices to you will be sent to your registered email address.

Language

These Terms are written in English. If translated, the English version prevails in the event of any conflict.
